Agreement and eligibility
These Terms are a legally binding agreement between you and Atlas Ad Agency LLC. They apply to atlasadagency.com, the Atlas Client Portal, Sisyphus, Atlas dashboards, research and reporting systems, campaign-planning tools, and other Atlas online services that link to these Terms.
You must be at least 18 years old and legally capable of entering into a binding agreement to create a client account. If you use the Services for an organization, you represent that you have authority to bind that organization.
Atlas services and Sisyphus
Atlas provides advertising, marketing, research, strategy, website, analytics, reporting, consulting, and technology services. Individual features may change and some functionality may be identified as beta, preview, experimental, or review-only.
Sisyphus is Atlas's proprietary research, analytics, and marketing-intelligence platform. It may combine client-provided information, public web research, search-result data, deterministic software, statistical methods, automated scoring, third-party APIs, and artificial-intelligence-assisted analysis. Unless separately enabled and expressly authorized, Sisyphus is not authorized to spend client funds or modify live advertising accounts.
Artificial intelligence and review
Some Atlas features may use commercial large-language-model APIs, including Anthropic's Claude. AI-assisted output can be incomplete, inaccurate, outdated, or unsuitable for a particular purpose. Atlas may apply technical and human-review safeguards, but these cannot eliminate every error. You are responsible for reviewing material before relying on it for a material business decision.
Research, forecasts, and recommendations
Research outputs, forecasts, scores, SEO recommendations, keyword recommendations, competitive analysis, campaign plans, and other forward-looking materials are decision-support tools based on available evidence. They are not guarantees of future performance.
Atlas does not guarantee revenue, profit, return on ad spend, rankings, leads, conversions, impressions, clicks, sales, customer-acquisition cost, or another specific business outcome. Results may vary because of market conditions, competition, platform changes, consumer behavior, client execution, website quality, pricing, seasonality, data limitations, and other factors outside Atlas's control.
No legal, tax, investment, or regulated financial advice
Unless expressly agreed otherwise in writing, Atlas provides advertising, marketing, research, and technology services rather than legal, accounting, tax, investment, securities, or regulated financial advice. Atlas materials do not substitute for advice from a qualified professional when such advice is appropriate.
Accounts and authentication
You must provide accurate account information and are responsible for protecting credentials, controlling access by your personnel, using only workspaces you are authorized to access, and promptly reporting suspected unauthorized access. Atlas may support third-party identity providers such as Google; use of those providers is also subject to their terms and privacy practices.
Client content and data
As between Atlas and you, you retain your ownership rights in information, files, materials, business data, metrics, URLs, and other content you provide. You grant Atlas a nonexclusive, worldwide, royalty-free license to host, copy, process, transmit, analyze, and technically modify Client Content only as reasonably necessary to provide and secure the Services, perform requested research, generate deliverables, operate Sisyphus, provide support, comply with law, and enforce applicable agreements.
You represent that you have the rights and authority reasonably necessary to provide Client Content to Atlas for the requested purpose. Do not knowingly submit infringing, unlawfully obtained, malicious, or unauthorized material.
Sensitive information
Unless Atlas expressly agrees otherwise in writing, the Services are not designed for storage or processing of Social Security numbers, government identification numbers, full payment-card credentials, passwords, private cryptographic keys, authentication secrets, protected health information, or other regulated sensitive information unrelated to Atlas's ordinary marketing services.
Public-web and competitor research
Atlas may analyze publicly accessible websites, search results, business listings, advertisements, marketing materials, metadata, and other public business information as part of requested research. Atlas does not guarantee that public information is accurate or complete, and competitor analysis does not imply affiliation with or endorsement by the competitor.
Campaign planning and provider access
Unless separately authorized and enabled, campaign plans and recommendations are review-only. Creating an account, submitting research, approving a planning draft, or selecting a service package does not itself authorize Atlas or Sisyphus to spend money, publish advertising, or mutate a provider account.
Where provider access is required, Atlas may use OAuth or another delegated-access mechanism. You remain responsible for your relationship with the third-party platform and compliance with its applicable terms.
Acceptable use
- Do not violate applicable law or another person's rights.
- Do not access or attempt to access another client's workspace, reports, credentials, or data.
- Do not bypass authentication, authorization, tenant isolation, security controls, or rate limits.
- Do not upload malware, disrupt the Services, or probe vulnerabilities without written authorization.
- Do not extract secrets, hidden administrator material, API keys, or private system instructions.
- Do not systematically copy, scrape, resell, or reverse engineer Atlas or Sisyphus except to the extent a restriction is prohibited by law.
- Do not use Atlas for unlawful surveillance, fraudulent activity, deceptive conduct, or unauthorized profiling of individuals.
Atlas intellectual property and deliverables
Atlas and its licensors retain all rights in Sisyphus, source code, application architecture, research systems, algorithms, proprietary prompts and prompt architecture, workflows, scoring methodologies, templates, dashboards, interfaces, software, database structures, branding, designs, documentation, trade secrets, methods, and other Atlas intellectual property.
Ownership and usage rights in custom deliverables may be governed by the applicable proposal, statement of work, or client agreement. Unless a written agreement states otherwise and subject to full payment, Atlas grants the client a nonexclusive right to use final client-facing reports and deliverables for the client's internal business and marketing purposes. Atlas retains its reusable software, Sisyphus technology, methodologies, templates, tools, processes, algorithms, systems, and know-how.
Confidentiality and feedback
Atlas will use reasonable measures to protect nonpublic Client Content and confidential information provided for legitimate business purposes. You must protect nonpublic Atlas information, including source code, credentials, security information, administrator material, proprietary systems, and trade secrets.
If you voluntarily provide product suggestions or feature feedback, you grant Atlas a perpetual, worldwide, royalty-free right to use that feedback to develop, operate, and improve its products and services. This does not transfer ownership of Client Content merely because it contains feedback.
Services, fees, and payments
Package descriptions may describe general scopes rather than a binding quote. Final scope, deliverables, timing, fees, payment schedule, advertising budget, revisions, and project-specific terms may be set in a proposal, invoice, statement of work, order form, or other written agreement. A signed project-specific agreement controls where it expressly conflicts with these Terms for that project.
You agree to pay fees you expressly approve. Third-party advertising spend is separate from Atlas service fees unless a written agreement says otherwise. Submission of a service request by itself does not authorize Atlas to charge an unspecified amount.
Third-party services, beta features, and service changes
Atlas relies on third-party hosting, authentication, storage, AI, search-data, email, scheduling, analytics, advertising, payment, and cloud services. Their outages, policy changes, API changes, or discontinuations may affect Atlas. Beta or preview features may be incomplete, change without notice, contain errors, or become unavailable. Atlas may modify Services, but will honor applicable obligations under a governing paid client agreement.
Suspension and termination
Atlas may suspend or restrict access where reasonably necessary to protect security, investigate fraud, prevent abuse, address nonpayment, comply with law, protect other clients, or respond to a material violation of these Terms. You may stop using the Services at any time subject to any separate paid agreement. Termination does not eliminate unpaid obligations, intellectual-property rights, confidentiality duties, lawful retention requirements, or provisions that by their nature should survive.
Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT FOR WARRANTIES EXPRESSLY GIVEN IN A SEPARATE WRITTEN AGREEMENT, ATLAS DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ATLAS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ALL INFORMATION WILL BE ACCURATE, THAT EVERY RECOMMENDATION WILL PRODUCE A POSITIVE RESULT, OR THAT THIRD-PARTY SERVICES WILL REMAIN AVAILABLE.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ATLAS AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR DATA, ARISING FROM OR RELATED TO THE SERVICES. ATLAS'S AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID ATLAS FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT OR $500 IF THE APPLICABLE SERVICE WAS USED WITHOUT PAYMENT. THESE LIMITS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED, AND A SIGNED CLIENT AGREEMENT MAY PROVIDE A DIFFERENT LIABILITY ALLOCATION.
Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold Atlas and its members, employees, contractors, and agents harmless from third-party claims, damages, liabilities, and reasonable costs arising from Client Content you provide, your unlawful use of the Services, your infringement of third-party rights, advertising claims or materials supplied by you, your violation of law, or your material violation of these Terms. This does not apply to the extent a claim results from Atlas conduct for which indemnification may not lawfully be required.
Governing law and disputes
These Terms are governed by Florida law except where federal law controls. Before litigation, you and Atlas agree to make a reasonable good-faith effort to resolve a dispute informally. If unresolved within 30 days after written notice, either party may pursue available legal remedies.
To the extent permitted by law, proceedings concerning these Terms or the Services shall be brought in a court of competent jurisdiction located in or serving Alachua County, Florida. Either party may seek emergency injunctive relief when necessary to protect confidential information, intellectual property, accounts, data, credentials, security, or other rights threatened with imminent harm.
Changes, electronic communications, and contact
Atlas may update these Terms. Material changes affecting registered users may be communicated through the Client Portal, email, an account notice, or another reasonable method. Where affirmative consent is legally required, Atlas will request it. You agree that Atlas may provide agreements, disclosures, and notices electronically where permitted by law.
